By placing an order with us, you agree to these Terms and Conditions, which govern all purchases of products worldwide.
ORDERS & CONFIRMATIONS
When you place an order with Fabrico, it becomes binding once we confirm it or begin processing it. Please ensure that all information you provide about your order is complete and accurate. We may subcontract certain work to trusted partners and provide similar services to other clients. Orders containing offensive or unlawful content may be rejected.
PRICING & PAYEMENTS
All prices are shown in EUR and exclude VAT and other taxes unless stated. Full payment is required when placing initial orders. For repeat orders, payment terms may be offered based on credit evaluation.
Late payments incur an 8% annual interest, and you are responsible for any collection costs. Partial deliveries may be invoiced separately. Payments are applied first to interest and costs, then to outstanding invoices.
DELIVERY & RISKS
Products are delivered on an Ex Works (EXW) basis unless otherwise agreed. Risk transfers to you when products are presented for collection or shipment.
Delivery times are estimates and may be affected by circumstances beyond our control, including delays caused by suppliers or force majeure events. Small variations in quantities (up to 10% for small orders, 5% for larger orders) may occur and will be invoiced accordingly.
You are responsible for accepting deliveries and may be charged for storage or transport costs if you fail to do so.
RETENTION OF TITLE
All products remain Fabrico’s property until full payment is received. You may resell products in the normal course of business but cannot grant security over them. Fabrico may reclaim products if payment obligations are not met.
QUALITY & WARRANTY
Products are supplied “as is.” Minor variations in color, design, or other details do not constitute defects. You are responsible for inspecting products on delivery.
Claims for visible defects must be reported within 3 days, and hidden defects within 4 weeks. Valid claims may be remedied through repair, replacement, or partial refund at Fabrico’s discretion.
LIABILITY
Fabrico’s liability is limited to the remedies described above. We are not responsible for indirect losses such as lost profits, business interruptions, or third-party claims.
You agree to indemnify Fabrico against any claims arising from your use of our products, including intellectual property disputes or misuse. Any liability is capped at the value of the purchased products or £3,000, whichever is lower.
INTELECTUAL PROPRIETY
Fabrico retains all rights to its designs, fabrics, and product technologies. You retain ownership of your designs, logos, or artwork. By placing an order, you grant Fabrico the right to use your intellectual property to fulfill your order. Fabrico may also feature your name or logo for promotional purposes.
FORCE MAJEURE
Fabrico is not liable for delays or failures caused by events beyond our control, including pandemics, natural disasters, strikes, supply chain issues, or government actions. If such events continue for more than three months, undelivered portions of your order may be canceled.
TERMINATION
Fabrico may suspend or terminate orders if obligations are not met, if insolvency occurs, or if there is a significant change in your business. In such cases, you remain responsible for payments due, and Fabrico may reclaim delivered products.
GOVERNING LAW
These Terms are governed by UK law. Any disputes will be resolved in the courts where Fabrico is registered unless another jurisdiction is agreed.
UPDATES TO TERMS
Fabrico may update these Terms from time to time. You will be notified of any changes, and continued use of our services after 14 working days constitutes acceptance.
